Bonfiglioli Transmissions to Launch All‑OFS IPO on October 15

Power‑transmission specialist Bonfiglioli Transmissions opens its IPO – a pure offer‑for‑sale by the Italian promoter – on Oct 15

Bonfiglioli Transmissions, the Indian arm of Italy’s Bonfiglioli S.p.A., will list its shares on October 23 after an OFS of 4.32 crore equity shares opens for subscription on October 15. No fresh issue, proceeds go to the promoter.

Bonfiglioli Transmissions, the Indian subsidiary of Italy‑based Bonfiglioli S.p.A., has filed its red‑herring prospectus and is set to open its initial public offering on October 15. The company, which supplies gear motors, gearboxes and industrial drive solutions, will be one of four IPOs hitting the market that day, alongside Tonbo Imaging India, Zetwerk Manufacturing Business and Sahajanand Medical Technologies.

Unlike a typical IPO, this one is an offer‑for‑sale (OFS) only – meaning the promoter is selling existing shares rather than issuing new ones. A total of 4.32 crore equity shares will be floated, a slight reduction from the 4.69 crore shares mentioned in the draft prospectus. The OFS will be split – 50 % for qualified institutional buyers (QIBs), 15 % for non‑institutional investors (NIIs) and the remaining 35 % for retail investors.

The pricing band is slated to be announced on October 12. Once the subscription window closes on October 19, an anchor book for institutional investors will have been opened for a single day on October 14. The allotment is expected to be finalised by October 21, and the shares should start trading on the stock exchanges on October 23.

Because the issue is pure OFS, all proceeds – after deducting issue‑related expenses and the employee reservation of 50,000 shares – will flow straight to Bonfiglioli S.p.A. The Indian subsidiary itself will not receive any fresh capital from the listing.

Financially, the company has been riding a solid wave. For the six months ended June 2026, profit jumped 29.2 % to ₹148.6 crore, while revenue rose 17.9 % to ₹1,131.9 crore. The full‑year numbers for FY 2025‑26 also showed healthy growth – profit up 21.9 % to ₹237.9 crore and revenue up 8.6 % to ₹2,013.5 crore.

Bonfiglioli’s business is split across three main verticals: industrial and automation (about 42 % of revenue), off‑highway mobility (roughly 28 %) and wind‑energy applications (around 27 %). The firm’s customers range from OEMs to end‑users needing precision‑engineered power‑transmission components.

The IPO paperwork was first filed with SEBI in February 2026 and received regulator approval in June 2026. The merchant bankers steering the issue are Axis Capital, BNP Paribas, ICICI Securities and Jefferies India.

Investors who missed the earlier IPOs this month now have a chance to tap into a company that blends Italian engineering pedigree with a growing Indian manufacturing base. As always, they should weigh the OFS nature of the issue – no new funds will bolster the business – against the firm’s strong earnings trajectory.
